Terms of Service

These Terms of Service ("Terms") govern access to and use of Fluir (the "Service"), a project management, creative strategy, and AI-assisted collaboration platform for agencies, operated by Fluir ("Fluir", "we", "us", "our"), a company incorporated in India with its registered office at A1101, Marvel Aurum, Lane 7, Koregaon Park, Pune, Maharashtra 411001. By creating an account, accessing, or using the Service, you ("Customer", "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
The Service
Fluir provides a subscription-based software platform including, among other features, a Client Book, Whiteboard, Project Manager, Dashboard, and AI-powered collaboration tools ("Notes.AI"). Fluir may add, modify, or discontinue features from time to time, and will provide reasonable notice of any material reduction in functionality provided under a paid plan.
Accounts and Access
Access to Fluir requires registration of an administrator account for your organization.
You are responsible for maintaining the confidentiality of login credentials and for all activity occurring under your organization's account.
You must provide accurate registration information and keep it up to date.
You are responsible for the conduct of all seat-holders ("Users") added to your organization's account and for ensuring they comply with these Terms.
Subscriptions Plans, Seats and Billing
Fluir is offered on a per-seat subscription basis. Current pricing, billing cycles (monthly or annual), and any applicable discounts (including the annual billing discount) are as displayed on the Fluir website or order form at the time of purchase and may be updated from time to time, with changes to apply from your next renewal.
Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) via our payment processor, Razorpay.
Adding seats during a billing cycle will be charged on a pro-rated basis for the remainder of that cycle; removing seats takes effect from the next renewal unless otherwise stated.
Subscriptions renew automatically at the end of each billing period unless cancelled prior to renewal in accordance with Section 5.
All fees are exclusive of applicable taxes (including GST), which will be added to invoices as required by law.
Refunds and cancellations are governed by our separate Refund and Cancellation Policy, which forms part of these Terms.
Payment Processing
Payments are processed by Razorpay Software Private Limited, a third-party payment gateway. By subscribing to a paid plan, you authorize Fluir and Razorpay to charge your chosen payment method on a recurring basis for applicable fees. Fluir does not store your full payment card details; these are handled directly by Razorpay in accordance with applicable payment card industry standards.
Availability and Downtime
Fluir may experience scheduled maintenance, upgrades, or unexpected outages. Except where expressly agreed in writing (for example, in an enterprise agreement with a stated uptime commitment), we do not guarantee uninterrupted, timely, secure, or error-free availability of the Service, and we are not liable for losses arising from downtime or service interruptions.
Data Backup and Customer Responsibility
While Fluir takes reasonable measures designed to protect Customer Data, you are responsible for maintaining independent backups of important information where appropriate. Fluir does not guarantee against accidental deletion, corruption, or loss of Customer Data, whether caused by user error, third-party failure, or otherwise.
Beta, Experimental, and Preview Features
From time to time, Fluir may make certain features available on a Beta, Experimental, or Preview basis, including new AI capabilities. Such features are provided "as is," may be incomplete, may not perform as intended, and may be modified, limited, or discontinued at any time without liability, notwithstanding anything else in these Terms.
Cancellation, Termination, and Suspension
You may cancel your subscription at any time through your account settings or by contacting admin@thefluir.com; cancellation will take effect at the end of the current billing period unless otherwise required by law.
We may terminate access for non-payment, breach of these Terms, or suspected misuse, with notice where reasonably practicable.
We may also immediately suspend access, without prior notice, where we reasonably believe an account is being used to upload malware, engage in unauthorized scraping, has been compromised or hacked, or where payment is overdue, in order to protect the Service and other customers.
Upon termination, your right to access the Service ceases; provisions relating to payment obligations, intellectual property, confidentiality, liability, and dispute resolution survive termination.
Customer Data: Ownership, Export, and Retention
You retain ownership of all content, client records, projects, and documents you upload or create within Fluir ("Customer Data"). You grant Fluir a limited license to host, process, and display Customer Data solely to provide and improve the Service.
You may export your Customer Data at any time while your subscription is active, using the export tools made available in the Service or by requesting an export from admin@thefluir.com.
Following termination or cancellation of your account, Customer Data may be retained for up to 30 days solely for recovery purposes, after which it may be permanently deleted. We recommend exporting any data you wish to keep before cancelling.

Account Ownership
Where an account or workspace is created on behalf of an organization, the organization, not the individual employee or administrator who created it, is the account holder. If an administrator or employee who created a workspace leaves the organization, the organization may request transfer of administrative control by contacting admin@thefluir.com along with reasonable proof of authority to act on the organization's behalf.
Minimum Age
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or use the Service. Fluir is intended for business use by organizations and their authorized personnel, not for use by children.
Confidential Information
In the course of using Fluir, you may upload confidential materials belonging to you or your clients, including campaign strategy, pricing, and contractual information ("Confidential Information"). Fluir will use reasonable care to protect the confidentiality of Confidential Information and will not disclose it to third parties except as necessary to provide the Service (including to the sub-processors described in Section 14 and our Privacy Policy), as required by law, or with your consent.
AI Features (Notes.AI)
Notes.AI and related AI-assisted features generate suggestions, summaries, and insights based on inputs you provide. Outputs are provided for your convenience and are not guaranteed to be accurate, complete, or suitable for any particular purpose.
Because AI outputs are generated algorithmically, similar inputs from different users may produce similar or overlapping outputs; Fluir does not guarantee that any AI output is unique to you.
You remain responsible for reviewing and validating any AI-generated content, and for ensuring that your use of such content complies with applicable law and any contractual obligations you owe to your own clients, before relying on or sharing it.
Third-Party Services
Certain Fluir functionality depends on third-party providers, which may include cloud infrastructure, AI model providers, authentication providers, payment processing (Razorpay), and transactional email services. Fluir is not responsible for outages, errors, or failures caused by these third-party providers, though we will make reasonable efforts to minimize any resulting disruption to the Service.
Security
Fluir implements reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, use, or disclosure, including:
Infrastructure: Fluir is built on Bubble, whose platform infrastructure is SOC 2 Type II compliant and hosted on Amazon Web Services (AWS), itself SOC 2 Type II and ISO/IEC 27001 compliant.
Encryption: data is encrypted in transit using TLS, and at rest using industry-standard encryption.
Payment security: payment card data is collected, transmitted, and stored directly by Razorpay, which holds PCI DSS Level 1 certification, the highest level of certification available to a payment processor; Fluir does not receive or store your full card details.
Access controls: access to Customer Data is restricted to personnel and systems that require it to provide, maintain, or support the Service, consistent with our Privacy Policy.
Tenant isolation: each customer's data is logically separated and access-checked at the system level, so that one organization's data is not accessible through another organization's account or credentials.
Fluir continuously reviews and improves these safeguards as the Service evolves. These measures apply to the infrastructure and services Fluir is built on and to Fluir's own operational practices. They do not constitute a representation that Fluir itself holds any particular security certification (such as SOC 2 or ISO 27001) in its own right; certifications held by our underlying providers do not automatically extend to Fluir as an independent certification. Fluir does not represent that it holds any such certification unless expressly stated in writing.
Force Majeure
Neither party will be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government action, pandemics, labor disputes, or failures of internet, telecommunications, or third-party infrastructure providers.
Export Restrictions and Sanctions
You represent that you are not located in, and will not use the Service from, any country or region subject to comprehensive trade sanctions, and are not a person or entity subject to applicable export control or sanctions restrictions. This section applies primarily to international use of the Service.
Acceptable Use
You agree not to use the Service to:
Reverse-engineer, decompile, or attempt to extract the source code of the Service, or use it to build a competing product;
Upload or distribute malware, viruses, or other malicious code;
Send spam, phishing communications, or other unsolicited messages through the Service;
Scrape, crawl, or use automated means to access the Service without our prior written permission;
Conduct security testing or penetration testing against the Service without our prior written authorization;
Make excessive or abusive automated requests that degrade the Service for other customers;
Upload content that infringes any third party's intellectual property or other rights;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Upload or transmit unlawful, defamatory, obscene, or otherwise harmful content;
Attempt to gain unauthorized access to Fluir systems, other customers' accounts, or other customers' data..
Feedback
If you submit feedback, suggestions, feature requests, or ideas regarding the Service ("Feedback"), you grant Fluir a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that Feedback into the Service without restriction or compensation to you.
Publicity
Unless you notify us otherwise at admin@thefluir.com, Fluir may identify you as a customer by displaying your organization's name and logo on our website and in general marketing materials. Enterprise customers may negotiate an opt-out of this section as part of a separate written agreement.
Intellectual Property
Ownership under these Terms is divided as follows:
Customer owns: all Customer Data, including uploaded files, projects, client records, and documents created within Fluir.
Fluir owns: the Service itself, including all underlying software, AI models, user interface, workflows, templates, and any improvements or derivative works Fluir makes to the foregoing.
Nothing in these Terms transfers ownership of Fluir's intellectual property to you, and no rights are granted to you other than the limited right to use the Service as set out in these Terms.
Warranties and Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Fluir disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
Limitation of Liabilities
To the maximum extent permitted by applicable law, Fluir's aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. Fluir shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.
Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Pune, Maharashtra, India, subject to any mandatory arbitration or consumer-forum requirements under applicable law.
Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via the Service or email at least [NOTICE PERIOD, e.g. 15 days] before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
